Results of voting on the Special Resolution proposing a merger with Governance New Zealand

There has been enthusiastic support of the proposed merger with Governance New Zealand by the members of Women on Boards Inc. Of the current 31 financial members, 29 members returned their voting paper and overwhelmingly endorsed the merger. This is a 93.5% vote of approval, more than meeting the constitutional requirement that 75% of the financial members voting by special resolution approve any proposed merger with another organisation.
I am accordingly going ahead with informing the board of Governance New Zealand of the successful outcome of the vote and will be working with Linda Noble, CEO of Governance New Zealand to effect the merger in the first weeks of July. Once the necessary documentation is signed and registered with the relevant authorities, and the members database and other intellectual property and assets have been formally handed to GNZ, WOB members will be contacted by GNZ and formally welcomed as an Affiliate member of the organisation. In the interim WOB members are most welcome to attend any GNZ branch meetings as a guest and need only to get in touch with the committee of the branch in your area to arrange this or the executive office. We look forward to growing the presence of women on the boards of New Zealand, nurturing our governance and leadership skills while developing the next generation of leaders through GNZ. Proposed Merger with Governance New Zealand

After recent consultation with members asking for input on the way forward, and in particular the option of merging with another governance organisation, all the members who contacted us responded very positively that they wished for the organisation to continue even if under a different structure.
Many members are very interested in partnering with an organisation where professional and business women in New Zealand can advance their careers in governance, whether it be at Board or Executive level.
After extensive discussions we are now in a position to disclose that the organisation involved is Governance New Zealand Inc, previously known as Chartered Secretaries NZ Inc. Governance New Zealand is an international organisation with nine Divisions across the globe and representation in over 70 countries. It represents the corporate conscience for Boards in New Zealand with its sole focus being the provision and support of leadership in the areas of governance and risk management. Governance New Zealand offers membership at a number of different levels and a portable qualification that is internationally recognised.
The Board of Governance New Zealand has signed off on a proposal to incorporate Women on Boards Inc into its organisation, subject to approval by the Women on Boards members voting at a Special Meeting.
If you wish to be part of the decision making process and benefit from the membership offer from Governance New Zealand, you will need to be a financial member of Women on Boards and have provided a postal address for voting purposes. Financial membership will not only provide you with current membership of Women on Boards, but will also automatically transfer you to Affiliate Membership of Governance New Zealand should the merger go ahead.
Governance New Zealand offers to:
- promote the Women on Boards brand via the Governance New Zealand website and in relevant marketing collateral produced from time to time.
- provide professional support related to topical gender diversity issues through events held in Auckland, Wellington and Christchurch.
- hold a biennial Diversity Summit and Women in Governance Awards event, the first of which is to be held in March 2016.

On receipt of your membership fee, we will forward to you a copy of the proposed agreement with Governance New Zealand and you will have until 30 April 2015 to comment on it.
Process Going Forward
The final agreement between both organisations and the special resolution that requires a postal vote to wind up Women on Boards Inc will be mailed to you by 15 May to be returned by 31 May 2015. If the vote is in favour of the merger, this will take effect on 1 July 2015. All assets owned by Women on Boards Inc. will be transferred to Governance New Zealand Inc., including the current membership fees paid, as part of the merger process.
